Beta Tester Terms — pre-release use of the Tirata mobile app

Version 1.0 — Effective June 2026

1. Introduction

These Beta Tester Terms (the “Terms”) govern your use of pre-release versions of the Tirata mobile application (the “Beta Software”) provided to you by Tirata, Inc., a Delaware corporation (“Tirata,” “we,” “us”). By installing or using the Beta Software, you (“Tester”) agree to these Terms.

2. Eligibility

You must be at least 18 years old and reside in a jurisdiction where Tirata permits beta participation. You must be invited by Tirata; you may not share your invitation, credentials, or build access with anyone else.

3. License grant

Subject to your compliance with these Terms, Tirata grants you a limited, personal, non-transferable, non-exclusive, revocable license to install and use the Beta Software solely for the purpose of evaluating it and providing feedback to Tirata. This license ends when your beta participation ends.

4. Restrictions

You will not:

  • Distribute, sublicense, lease, sell, or otherwise transfer the Beta Software or your access to it.

  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Beta Software, except where applicable law permits.

  • Use the Beta Software to build a competitive product.

  • Remove or alter any proprietary notices in the Beta Software.

  • Use the Beta Software in violation of applicable law.

5. Confidentiality

The Beta Software and any information you receive about unreleased features, pricing, designs, or roadmap is Confidential Information. You agree to keep it confidential and not to disclose it to any third party. If you have signed a separate Nondisclosure Agreement with Tirata, the obligations there apply in addition to these Terms; if there is any conflict, the stricter obligation controls.

6. Feedback

Tirata welcomes feedback, bug reports, suggestions, and ideas about the Beta Software (“Feedback”). You grant Tirata a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and incorporate the Feedback into any product or service, without obligation or attribution. You represent that you have the right to provide the Feedback under this license.

7. Bug reporting

You are encouraged to report bugs, crashes, and unexpected behavior promptly. Reports may be submitted through the in-app feedback channel or to support@tirata.app.

8. Pre-release nature; no warranty

The Beta Software is provided “AS IS” and “AS AVAILABLE.” It is pre-release and is expected to contain bugs, errors, and incomplete features. Tirata makes no representations or warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Programming output may be inaccurate, incomplete, or unsuitable for your particular circumstances; you are responsible for evaluating whether to follow any programming guidance the Beta Software provides.

9. No medical or fitness advice

The Beta Software provides general fitness programming and is not medical advice. Consult a qualified physician before beginning or modifying any exercise program. Tirata is not responsible for any injury or health consequences resulting from your use of the Beta Software.

10. Data and privacy

Tirata may collect usage data, crash logs, device information, and any data you enter into the Beta Software for the purposes of improving the product. By using the Beta Software, you consent to this collection. Tirata will handle your data in accordance with its privacy practices.

11. Limitation of liability

To the fullest extent permitted by law, Tirata and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Beta Software. Tirata’s total liability for any claim arising out of these Terms is limited to one hundred U.S. dollars ($100).

12. Term and termination

These Terms apply from the date you accept them and continue until terminated. Either party may terminate at any time, for any reason, with or without notice. On termination, your license to use the Beta Software ends immediately and you must stop using it, uninstall it from your devices, and delete any Confidential Information in your possession. The following sections survive termination: 4 (Restrictions), 5 (Confidentiality), 6 (Feedback), 8 (No Warranty), 11 (Limitation of Liability), and 13 (Governing law).

13. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

14. Miscellaneous

These Terms are the entire agreement between the parties about the subject matter and supersede any prior understandings. If any provision is held unenforceable, the remainder continues in effect. Tirata may update these Terms; continued use of the Beta Software after notice constitutes acceptance. These Terms may be signed electronically and in counterparts.

Acknowledgment

I have read these Beta Tester Terms, understand them, and agree to be bound by them. I am at least 18 years old.

Accepted electronically. By checking the consent box and submitting the Tirata beta application, Tester indicates that Tester has read, understood, and agrees to be bound by these Terms and is at least 18 years old. Tirata retains a record of acceptance that includes the name and email address Tester provided and the date and time of acceptance, which together constitute Tester’s electronic signature under the U.S. E-SIGN Act and applicable state law.
